1. About these Terms
These Website Terms and Conditions (“Terms”) govern your access to and use of lifewood.com, its subdomains and other public websites, pages, materials and online resources operated by Lifewood Data Technology Limited that link to these Terms (together, the “Website”).
In these Terms, “Lifewood”, “we”, “us” and “our” refer to Lifewood Data Technology Limited and, where relevant to a particular page or interaction, its affiliated entities. “You” and “your” refer to the person accessing or using the Website and, where that person acts for an organization, that organization.
2. About Lifewood and the Website
Lifewood is a global AI data company operating an international delivery network. Its business includes AI data collection, annotation and validation; global scanning and intelligent indexing; AI-generated content (AIGC); answer-engine and generative-engine optimization (AEO/GEO); LLM training data; multilingual data operations; autonomous-driving data; and edge-intelligence and related AI solutions.
The Website provides corporate, service, research, recruitment, thought-leadership, case-study and contact information. It may also contain AI-generated or AI-assisted media and demonstrations. The Website is primarily informational and is not an online marketplace or self-service contracting platform unless a particular page expressly states otherwise.
3. Acceptance and eligibility
By accessing or using the Website, you agree to these Terms. If you do not agree, you should stop using the Website. If you use the Website on behalf of a company or other organization, you represent that you are authorized to act for that organization in relation to your Website use.
The Website is not directed to children. If local law requires a minimum age to consent to online services or data processing, you may use the Website only if you meet that age or have any authorization required by applicable law.
4. Relationship with commercial agreements
Descriptions of Lifewood’s services, capabilities, project examples, pricing approaches, timelines, quality metrics, certifications or delivery models on the Website are provided for general information and business-development purposes. They do not constitute a binding offer, warranty, service level, acceptance criterion or commitment to perform a particular project.
A commercial relationship with Lifewood is formed only when the relevant parties enter into a separate binding agreement or otherwise complete the contracting process specified by Lifewood. An MSA, SOW, work order, quotation, purchase order, NDA, DPA or other written commercial instrument may contain terms that differ from these Website Terms. For the relevant commercial engagement, the separately agreed instrument will prevail to the extent of any inconsistency.
5. Permitted use of the Website
Subject to these Terms, Lifewood grants you a limited, revocable, non-exclusive and non-transferable right to access and use the Website for legitimate personal, professional or business-information purposes. You may share ordinary links to publicly accessible pages and may make reasonable internal copies of public materials for evaluation of Lifewood or its services, provided copyright, trademark and attribution notices are preserved.
6. Prohibited use
- use the Website in breach of applicable law, regulation, court order or third-party rights;
- attempt to gain unauthorized access to any account, system, network, source code, non-public data or restricted functionality;
- introduce malware, malicious code, automated attacks, denial-of-service traffic, vulnerability scans or security testing without Lifewood’s prior written authorization;
- misrepresent your identity or affiliation, impersonate another person, or submit materially false or deceptive information;
- remove, obscure or alter copyright, trademark, proprietary-rights or security notices;
- copy, reproduce, republish, sell, sublicense or commercially exploit substantial portions of Website content except as expressly permitted by Lifewood or applicable law;
- conduct unauthorized bulk scraping, extraction, harvesting or systematic copying of Website content, or compile it into a competing database, corpus or commercial dataset;
- use Website content to train, fine-tune, evaluate or materially improve a machine-learning or generative-AI model without Lifewood’s prior written permission, except to the extent such activity is expressly permitted through Lifewood’s machine-readable instructions or applicable law; or
- circumvent robots.txt, access controls, rate limits, consent mechanisms or other technical measures used to manage access to the Website.
6.1 Search-engine and AI discovery indexing
Nothing in Clause 6 is intended to prohibit ordinary indexing, caching, citation or discovery of public Website pages by bona fide search engines, answer engines or AI discovery services where they access the Website in accordance with applicable law and Lifewood’s then-current robots.txt, metadata, rate limits and other machine-readable permissions or restrictions. Those technical controls may change over time.
7. Intellectual property rights
Unless otherwise stated, the Website and its contents — including text, designs, page layouts, graphics, photographs, videos, AI-generated media, software, code, databases, schemas, reports, service descriptions, logos and other materials — are owned by or licensed to Lifewood and are protected by copyright, trademark and other intellectual-property laws.
“Lifewood”, the Lifewood logo and related brand identifiers are owned by Lifewood or its affiliates. No right to use a Lifewood trademark, logo, trade name or brand element is granted except with prior written authorization or as permitted by applicable law.
8. Third-party names, platforms and content
The Website may refer to third-party companies, products, AI systems, technology platforms or trademarks in order to describe interoperability, market context, case studies, research, comparisons or AEO/GEO environments. Unless expressly stated, those references do not imply sponsorship, endorsement, affiliation or partnership.
Third-party names and trademarks remain the property of their respective owners. Any third-party content, embedded media or linked website is governed by the third party’s own terms and policies.
9. AI-generated, technical and case-study content
Some Website content may be generated, enhanced, translated or adapted using artificial-intelligence tools under human direction. Such content may include synthetic voices, images, video, demonstrations or illustrative examples. Unless expressly identified as a contractual deliverable, Website media is provided for communication and demonstration purposes only.
Case studies, accuracy figures, processing volumes, delivery times, language coverage, performance improvements and similar metrics may relate to a particular client, project, dataset, methodology, period or operating condition. They should not be understood as a guarantee that another project will achieve the same result. Project-specific commitments, if any, are set out in the applicable commercial agreement.
10. Information you submit through the Website
If you submit an enquiry, form, message, curriculum vitae, proposal request or other material through the Website, you confirm that the information is accurate to the best of your knowledge and that you have the right to provide it. You grant Lifewood a limited right to use, reproduce and internally share the submitted material as reasonably necessary to respond to your request, evaluate a potential relationship, administer recruitment or perform another purpose described at the point of collection and in the Privacy Policy.
Do not submit highly sensitive, regulated, client-confidential, export-controlled, classified or security-critical data through a general Website contact form unless Lifewood has specifically instructed you to use that channel. A general enquiry does not create a duty of confidentiality beyond any duty imposed by law or a separate written confidentiality agreement.
11. Privacy and cookies
Lifewood’s collection and use of personal data through the Website is described in the Privacy Policy. The use of cookies and similar website technologies is described in the Cookie Policy and, where available, the Website’s Cookie Settings interface.
Where Lifewood processes personal data on behalf of an enterprise client in a separate project, that processing is governed by the applicable client agreement, data-processing terms and project-specific privacy notices rather than these Website Terms alone.
12. Website availability and security
We may modify, suspend, withdraw or restrict any part of the Website for maintenance, security, legal, operational or business reasons. We do not guarantee uninterrupted availability or that all content will remain available indefinitely.
Lifewood takes reasonable measures to protect its systems, but no internet service can be guaranteed to be free from vulnerabilities, malicious code or transmission failures. You are responsible for using appropriate security controls on your own devices and networks.
13. Accuracy, reliance and no professional advice
We seek to keep Website information useful and current, but content may contain errors, become outdated or be incomplete. Lifewood may update or correct Website content without notice.
Website content is general information and does not constitute legal, regulatory, financial, investment, medical, safety, engineering or other professional advice. You should obtain appropriate professional or technical advice for decisions that depend on your particular circumstances. Content describing AI, data governance, compliance or technical practices does not itself establish that a particular solution is legally compliant, certified, suitable or safe for your use case.
14. Disclaimer of warranties
To the fullest extent permitted by applicable law, the Website is provided on an “as is” and “as available” basis. Except for rights or warranties that cannot legally be excluded, Lifewood disclaims implied warranties or representations regarding availability, accuracy, completeness, merchantability, satisfactory quality, fitness for a particular purpose, non-infringement or freedom from errors or harmful components.
15. Limitation of liability
Nothing in these Terms excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation and any other liability that applicable law makes non-excludable.
Subject to the preceding paragraph and to the fullest extent permitted by law, Lifewood and its affiliates will not be liable for indirect, incidental, special, punitive or consequential loss, loss of profits, revenue, business opportunity, anticipated savings, goodwill or data arising from or connected with use of, inability to use, or reliance on the Website or third-party links. Where you use the Website in the course of business, you are responsible for independently evaluating information before relying on it in a business, technical, legal or investment decision.
16. Indemnity for unlawful misuse
If you use the Website on behalf of a business or organization, you agree, to the extent permitted by law, to indemnify Lifewood and its affiliates against third-party claims, losses and reasonable costs arising directly from your material breach of Clause 6, your unlawful use of the Website, or your infringement of another person’s intellectual-property or privacy rights. This clause does not apply to the extent a claim results from Lifewood’s own breach, negligence or unlawful conduct.
17. Suspension and enforcement
Lifewood may block, restrict or suspend access to the Website where reasonably necessary to protect security, investigate misuse, comply with law, enforce these Terms or protect Lifewood, its clients, partners or other users. The exercise or non-exercise of a remedy does not waive any other right or remedy.
18. Third-party links
Links to third-party websites are provided for convenience or reference. Lifewood does not control and is not responsible for third-party content, availability, security, privacy practices or terms. You access third-party resources at your own discretion and should review the applicable third-party terms and policies.
19. Changes to these Terms
We may update these Terms to reflect changes to the Website, law, technology or our business. The updated version will be posted on the Website with a revised “Last updated” date. Material changes apply prospectively from the date stated unless applicable law requires another approach. Continued use of the Website after the effective date constitutes acceptance to the extent permitted by law.
20. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of the Hong Kong Special Administrative Region. Subject to any mandatory rights or forum protections that cannot lawfully be excluded, the courts of Hong Kong shall have exclusive jurisdiction over disputes arising out of or in connection with the Website or these Terms.
If you access the Website as a consumer in a jurisdiction that grants mandatory protections, nothing in these Terms is intended to deprive you of protections that cannot legally be waived.
21. General provisions
If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in effect and the affected provision will be interpreted or modified to the minimum extent necessary to make it valid where permitted by law. A failure or delay by Lifewood to enforce a provision is not a waiver of that provision.
You may not transfer rights or obligations under these Terms in connection with Website use without Lifewood’s prior written consent. Lifewood may transfer or assign these Terms as part of a corporate reorganization, merger, acquisition, sale of business or transfer of the Website, subject to applicable law.
Where these Terms are made available in more than one language, the English version prevails to the extent permitted by applicable law unless the translated version expressly states otherwise.
